Terms & Conditions

These Terms and Conditions include, and incorporate by reference, the Terms of Service, Refund Policy, Acceptable Use Policy, and Privacy Policy set out below as four parts of a single agreement.

Effective Date: 1 March 2026 · Last Updated: October 2026

For each User, these Terms become binding on the earlier of (i) the date the User adds paid credit to their account, or (ii) the date the User first accesses or uses the Services.

Part One

Terms of Service

These Terms of Service ("Terms") govern your access to and use of the UAE Tax Co-Pilot platform and related services (collectively, the "Services"). The Services are owned and operated by Tax Co-Pilot Technologies LLC, registered in Sharjah Media City ("Shams"), United Arab Emirates, under License No. 2644261.01 ("Tax Co-Pilot", "we", "us", "our"). Our registered address is Sharjah Media City ("Shams"), Al Messaned, Al Bataeh, Sharjah, United Arab Emirates.

By accessing or using the Services, you ("User", "you", "your") agree to be bound by these Terms. If you do not agree, you must not use the Services.

1 Definitions

Account - your access record, sign-in email, and credit balance maintained by us.

Sign-In Email - the email address you use to receive a magic link, a one-time, secure sign-in link sent to that address to verify it is you. Any valid email address may be used; no specific email provider is required.

Credit Balance - the prepaid balance associated with your Account, drawn down as you use the Services.

Outputs - responses generated through the Services.

Content - our database, compilation, curation, structure, prompts/workflows, and platform UI elements, excluding your personal data.

Third-Party Providers - the cloud, artificial intelligence, and payment infrastructure providers we use to deliver the Services. We select and may change these providers from time to time; we do not warrant that any specific provider will be used on an ongoing basis.

AUP - the Acceptable Use Policy incorporated into these Terms by reference.

2 Eligibility and Professional Use

2.1 Professional and Individual Use. The Services are designed primarily for professional, business, or institutional use, including tax advisers and consultants, in-house tax and finance teams, and firms, and are also available to individuals researching their own UAE Corporate Tax position. Nothing in these Terms restricts sign-up or use to any single category of user.

2.2 Authority. If you use the Services on behalf of an entity, you confirm you have authority to bind that entity to these Terms.

2.3 Age. You must be at least 18 years old.

3 Service Model and Architecture

3.1 Research Tool Only; No Advice. The Services provide AI-assisted research and drafting support for UAE Corporate Tax topics. We do not provide legal, tax, accounting, or other professional advice, and Outputs are not a substitute for professional judgment.

3.2 Underlying Infrastructure. The Services are delivered using our own research architecture, which draws on private computing infrastructure and, where appropriate, Third-Party Providers of cloud and AI model infrastructure. We do not warrant the continued availability of any specific underlying provider, and we may change providers without individually notifying you, provided the Services continue to function as described.

3.3 Chat and Document Upload. Your access includes chat-based research, and, where enabled in the product, the ability to upload relevant documents to assist your research. Available features may change over time; we will not remove a feature you have already paid to use within a billing period without reasonable notice.

3.4 Update Window. We aim to update source materials promptly, but you accept a standard operational window of 48–96 hours to integrate new official guidance or legislation after it is published.

3.5 No Service Levels / Uptime Guarantees. We do not guarantee uninterrupted availability. Planned or unplanned interruptions may occur due to maintenance, third-party changes, or other factors outside our control.

4 Account and Access

4.1 Self-Service Sign-Up. Accounts are created automatically the first time you sign in with a valid email address; there is no manual approval step or allow-list.

4.2 One Account Per Person. Each Account is for use by one individual. You must not share your sign-in access with any other person.

4.3 Multi-Device Use. You may access the Services from multiple devices as the same user using the same sign-in email.

4.4 Account Security. Sign-in links are single-use and time-limited. You are responsible for keeping your email account secure, since anyone with access to it can request a sign-in link for your Account.

5 Usage-Based Access

5.1 Credit-Based Model. Access to research questions is governed by your Credit Balance, not a fixed daily or monthly question limit. Each question you ask deducts an amount from your Credit Balance based on the real computing cost of answering it, plus a service margin; see the Fees section below.

5.2 Zero Balance. If your Credit Balance reaches zero, the Services will decline to process new questions until you add credit. This is an automatic, cost-based control, not a suspension for misconduct.

5.3 Fair and Individual Use. "Fair use" means usage consistent with a single named individual using their own Account. Automated, scripted, or bulk querying, or sharing one Account across multiple people, is not fair use and is addressed in the AUP and Section 12.

6 Permitted Use of Outputs

6.1 Use of Outputs. You may use Outputs for internal workpapers and analysis, deliverables and communications, and formal filings/submissions, provided you do not represent Outputs as legal or tax advice issued by Tax Co-Pilot.

6.2 Required Disclaimer. If Outputs (or excerpts) are included in client deliverables, you must include a disclaimer such as: "AI-assisted research; independently verified against official sources."

6.3 Mentioning and Quoting Us. You may mention UAE Tax Co-Pilot publicly, review it, and quote or share Outputs and screenshots of the Services. What you publish, and anyone's reliance on it, is your own responsibility and not ours, and Sections 13 to 15 apply to it. You must not present an Output as legal or tax advice from Tax Co-Pilot, or as our endorsement of your conclusions.

7 Public Posting

7.1 You may post screenshots of the Services and Outputs publicly, for example on LinkedIn, blogs or websites. You must not post anyone else's confidential or personal data, or disclose our internal architecture, workspace or document list.

7.2 Anything you post is your own statement. We do not review it, and we are not responsible for it or for anyone's reliance on it.

8 Intellectual Property

8.1 Our IP. The Services, Content, compilation, curation, structure, and workflows are owned by Tax Co-Pilot or its licensors and protected by intellectual property laws.

8.2 No Extraction / Competitive Use. You must not scrape, systematically copy, compile, or extract Outputs and citations to build or train a competing database, product, or service, including manual systematic extraction over time.

8.3 Citations. Citations are a feature of the Service and may be used in client deliverables. The underlying compilation and curation remain proprietary.

8.4 Copyright Complaints. If you believe something on the Services infringes your copyright, email admin@uaetaxcopilot.com with what the material is, where it appears, why you own the copyright, and how to reach you. We will review it and reply.

9 Confidentiality

9.1 We will not use your name or logo in marketing without your written consent.

9.2 You must not disclose access-enabling information (such as sign-in links) to third parties.

10 Data Protection and Privacy

Our data practices are described in full in the Privacy Policy (Part Four), which is incorporated by reference and forms part of these Terms.

10.1 No Client Confidential/Personal Data of Third Parties. You must not input a third party's confidential or personal data into the chat without a lawful basis for doing so. You are solely responsible for the consequences of violating this rule.

11 Enforcement for Misuse

11.1 Escalation Ladder. If we reasonably suspect account sharing, misuse, or activity inconsistent with fair, individual use, we may: (a) warn you by email; (b) give you 24 hours to confirm compliance; (c) suspend access; and (d) terminate access if not resolved within 2 days of suspension.

11.2 Immediate Termination Without Cure. We may terminate immediately, without a cure period, for scraping or systematic extraction, attempts to bypass access controls or security, or unlawful use of the Services.

11.3 If terminated for breach, any remaining, unused Credit Balance attributable to paid (non-bonus) top-ups is refunded in accordance with the Refund Policy; no refund is issued for the value of bonus credit.

12 Fees, Credit, and Billing

12.1 Prepaid Credit Model. You add credit to your Account balance in advance. There is no recurring subscription fee; you are only charged as you add credit.

12.2 How Credit is Added. Credit is added by card from the Billing page of your account, as a fixed amount or any amount from AED 250. You can also turn on automatic recharge, so your balance tops up on its own when it runs low. Both are processed by our payment processor.

12.3 Payment Processor. Paid top-ups are processed through Stripe or another payment processor we select. We do not store your full card details; they are handled directly by our payment processor.

12.4 Bonus Credit. We may, at our discretion, add bonus credit to your Account (for example as part of a promotion). Bonus credit has no cash value, is non-refundable, and may expire or be adjusted at our discretion.

12.5 Taxes (VAT). Amounts are exclusive of applicable taxes (including VAT). If/when VAT applies, it will be added to invoices/charges as required by law.

12.6 Price Changes. We may change how usage is priced with at least 30 days' notice, provided by email, in-product notice, or on our website. Continued use after the effective date constitutes acceptance. Any change will not retroactively affect credit you have already added.

12.7 Trial Period. We may, at our discretion, offer a free trial with limited credit or usage. We may change, extend, shorten, or discontinue trial offers at any time without notice, and may refuse or revoke trial access if we suspect repeated trial use or circumvention. One free trial is offered per person. Where a sign-up shares a mobile number or browser with an existing account, uses a temporary email service, or is one of several from one network within an hour, we confirm its trial credit before it is added.

12.8 Referral Credit. A member may share their own referral link. When someone who signs up through it makes their first paid top-up, the member receives AED 100 of credit, once for each new member. Referral credit is bonus credit under 12.4. It is not given for an existing account, or for a second account of the member. Where the new member's trial credit needed our confirmation, or the new member shares the member's browser or mobile number, we confirm the referral credit before it is added.

13 Disclaimers

13.1 Services are provided "as is" and "as available." We disclaim all warranties to the maximum extent permitted by law.

13.2 AI Limitations. AI-generated Outputs may be inaccurate, incomplete, or outdated. You must independently verify Outputs against official sources before acting on them.

14 Limitation of Liability

14.1 Our total liability is capped at the amount you actually paid us in the 12 months preceding the event giving rise to the claim.

14.2 No liability for indirect, consequential, punitive, or special damages.

15 Indemnity

You will indemnify and hold us harmless for claims arising from your misuse of the Services, your reliance on Outputs without independent verification, or your inclusion of a third party's confidential or personal data in the chat without a lawful basis.

16 Third-Party Providers

Third-Party Providers may impose their own limits, experience outages, or change their offerings. We are not liable for the failure of a Third-Party Provider, and we will work to restore full service using an alternative provider where reasonably possible.

17 Force Majeure

No party is liable for delay or failure due to events beyond reasonable control, including outages of third-party infrastructure, sanctions, or government action.

18 Changes to Terms or Services

We may update these Terms or modify the Services. Continued use after an update constitutes acceptance.

19 Governing Law and Dispute Resolution - DIFC

19.1 These Terms are governed by DIFC law. Disputes are subject to the DIFC Courts.

19.2 SCT Threshold. If the total amount you have actually paid to Tax Co-Pilot in the preceding 12 months (net of refunds and chargebacks) is AED 20,000 or less, the parties agree to bring claims in the DIFC Small Claims Tribunal ("SCT") where applicable; otherwise, in the DIFC Courts.

19.3 Costs. To the fullest extent permitted by applicable law, if you bring a claim against Tax Co-Pilot that is dismissed, withdrawn, or decided substantially in our favor, you agree to reimburse our reasonable legal fees and costs, unless you obtain a final judgment that we are liable to you for material breach or wilful misconduct. This is without prejudice to any costs order the DIFC Courts may make.

19.4 Chargebacks. If you initiate a chargeback or payment dispute, we may suspend access while it is pending. You agree to reimburse any chargeback or dispute fees imposed by our payment processor to the extent the dispute is resolved in our favor, withdrawn, or denied.

20 Notices

Notices may be sent by email to admin@uaetaxcopilot.com and to the email on your Account, and will be deemed received upon sending.

21 Miscellaneous

Severability, waiver, and entire agreement apply. The English version prevails. The AUP and Refund Policy are incorporated by reference.

22 Beta Version

22.1 Pre-release. The Services are provided as a Beta (pre-release) version. They are under active development and are not a finished product.

22.2 Changes and Withdrawal. We may add, change, suspend, or withdraw any feature at any time and without notice during Beta, including features you are actively using. We may also end the Beta period, in which case these Terms continue to apply to the Services as they then are.

22.3 No Service Levels. No uptime, response time, or availability commitment applies during Beta. The Services may be unavailable, interrupted, or slow, including during a return you are working on.

22.4 Expect Errors. Outputs during Beta are more likely to be incomplete, inconsistent, or wrong than in a finished product. Section 13.2 applies with particular force: you must independently verify every Output against official sources before acting on it.

22.5 Your Responsibility. You review every Output before use and remain solely responsible for the content, accuracy, and timeliness of any return, filing, or advice you produce. If you prepare returns or advice for others, you confirm that you are professionally competent to review the Outputs you rely on.

22.6 We Do Not File. The Services prepare a return for your review. They do not submit a return, do not sign or confirm a declaration, and stop at the review and declaration stage of the FTA portal. Submission under self-assessment is your own act. This is a limitation built into the software, not only a term of this agreement.

22.7 Feedback and Error Reports. During Beta we may ask you to report errors, and you may report them at any time. You grant us permission to use a report you send us to diagnose and improve the Services. We will not use the content of your questions, documents, or Outputs to train any AI model (see Part Four, Section 3), and a report you send us is used only for the purpose you sent it for.

22.8 Beta and Liability. Nothing in this Section increases our liability. Sections 13, 14, and 15 apply in full during Beta.

Part Two

Refund Policy

Because credit is drawn down only as you actually use the Services, and each deduction reflects real usage already delivered, paid credit that has already been consumed by answered questions is non-refundable. The exceptions below cover the cases where a refund is genuinely warranted.

1 No Refunds

No refunds for: credit already consumed by questions you asked; change of mind after adding credit; dissatisfaction with the formatting or AI nature of an Output that was otherwise delivered correctly; or third-party rate limits or throttling outside our control.

2 Exceptions

2.1 Unused Paid Credit on Account Closure. If you close your Account with unused, paid (non-bonus) credit remaining, you may request a refund of that unused amount within 30 days of closure.

2.2 Duplicate Charge. If you were charged twice for the same top-up, submit a request within 7 days of the charge. Approved refunds are processed within 10 days.

2.3 Unauthorized/Fraudulent Charge. Refunds for unauthorized or fraudulent charges require bank or payment-processor confirmation of the dispute, and a request raised within 7 days of the charge. Approved refunds are processed within 10 days.

2.4 Service Made Impossible. If a change to a required underlying third-party service makes it technically impossible for us to continue providing the core Service, we will provide a pro-rata refund of your unused, paid credit balance.

3 Chargebacks

If you initiate a chargeback, access may be suspended immediately while the dispute is pending.

4 How to Request

Email admin@uaetaxcopilot.com with your account email, the reason for the request, and any supporting evidence.

Part Three

Acceptable Use Policy

You must not:

  • share your Account or sign-in access with another person;
  • use automated, scripted, or bulk querying against the Services;
  • input a third party's confidential or personal data into the chat without a lawful basis;
  • present an Output as advice from Tax Co-Pilot, or imply that we endorse your conclusions;
  • scrape, reverse engineer, or systematically extract Outputs or citations to build a competing product or service;
  • use the Services unlawfully, including infringing intellectual property or privacy rights;
  • attempt to bypass access controls or security.

We may enforce the escalation ladder and termination rights in the Terms of Service for any violation of this AUP.

Part Four

Privacy Policy

We take data protection seriously. This Policy explains what we collect, why, how long we keep it, and the choices you have.

1 What We Collect

Account data: your sign-in email, name (if provided), mobile number, and Credit Balance.

Your chat and document history: unlike some AI tools, we do store the text of your questions and the Outputs you receive, and any documents you upload, because this is what lets you return to a conversation, keep your entity/client context, and pick up where you left off. This is a deliberate product feature, not incidental logging.

Billing data: top-up amounts and payment status, processed through our payment processor. We do not store your full card number.

Usage analytics: aggregate statistics such as questions per day, used to monitor service health and fair use.

Website data: standard technical logs, and analytics cookies only where you have consented.

Update emails: for each update on new UAE tax law we send you, we record whether it was delivered, whether it was opened, whether you asked a question from it, and whether you stopped update emails. An email counts as opened when a small image in it loads.

2 How We Use Your Data

Your documents and your questions stay yours. We hold them so your entity's facts, your research and your return work are waiting when you come back, instead of you explaining them again every time. They are never used to train any AI model, ours or anyone else's. They are never sold. They go to no one beyond the infrastructure that runs the service for you.

Only you can see them. Access is limited to your own account.

We also use your data to manage your credit balance, to keep the service secure, and to tell you what you need to know, such as when your balance is running low.

New UAE tax law, as it is issued. Your Account includes emails on new UAE tax law. Every one has a link to stop them: one click, no sign-in. We will use your mobile number for the same updates on WhatsApp once we offer them there, and you will be able to stop those separately.

And you can take it back. Ask, and your account and everything in it is deleted, apart from what we are legally required to keep.

3 Model Training

We do not use the content of your questions, documents, or Outputs to train any AI model, ours or a third party's.

4 Sharing

We do not sell your personal data. We share data only with: the infrastructure providers necessary to run the Services (which process your data solely to deliver the Services to you, under confidentiality and data-processing terms, and are not individually named here since the specific providers we use may change over time); our payment processor, to process top-ups; and authorities, if required by law.

5 Retention

We retain your Account, conversation history, and billing records for as long as your Account is active, and for 12 months after your last activity, unless a longer period is required for legal or accounting reasons. The same applies to the records of update emails described in Section 1. You may request deletion of your Account and associated data at any time, subject to what we are legally required to retain.

6 Your Rights

Subject to applicable law, you may request access to, correction of, or deletion of your personal data, and may object to certain processing. Contact us using the details below to exercise these rights. You can stop update emails at any time from the link in any of them.

7 Cookies and Consent

If analytics cookies are enabled on our website, we will show a cookie banner, and no analytics cookies will be placed until you consent.

Without any cookie, our website notes in your own browser where you first arrived from (the link or site that brought you, and the first page you opened), and sends it only with the sign-up form, so we know which of our pages and posts brought you. It is never sent on its own and never follows you to other sites.

If you sign up through a member's referral link, we note which member referred you, so their referral credit can be paid.

We also keep a random mark in your browser, without a cookie, and send it only with the sign-up form, so that each person receives one free trial. It identifies a browser, not a person, and is used for nothing else.

If you ask for new UAE tax law by email without an account, we keep your email address to send it, until you stop it with one click from any of the emails.

8 Security

We use reasonable administrative and technical safeguards to protect your data, including access controls on our systems and encryption in transit. No system is completely secure, and we encourage you to keep your own email account secure, since it is the key to your Account.
