Terms & Conditions

​The Terms and Conditions include and incorporate by reference to Terms of Service, Refund Policy, Acceptable Use Policy, and Privacy Policy as set out below.​

For each User, these Terms become binding on the earlier of (i) the date the User pays subscription fees, or (ii) the date the User first accesses or uses the Services.

Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the UAE Tax Co-Pilot platform, tools, and related services (collectively, the “Services”). The Services are owned and operated by Tax Co-Pilot Technologies LLC, registered in Sharjah Media City (“Shams”), United Arab Emirates, under License No. 2644261.01 (“Tax Co-Pilot”, “we”, “us”, “our”). Our registered address is Sharjah Media City (“Shams”), Al Messaned, Al Bataeh, Sharjah, United Arab Emirates.

By accessing, subscribing to, or using the Services, you (“User”, “you”, “your”) agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Definitions

For these Terms, the following definitions apply:

  • Account: your subscription record and access configuration maintained by us (including your Seat and Authorized Gmail).

  • Authorized Gmail: the Gmail/Google account email address approved and allow-listed by us for access.

  • Seat: a single named-user license tied to one Authorized Gmail and one individual user.

  • Outputs: responses generated through the Services.

  • Content: our database, compilation, curation, structure, selection of materials, prompts/workflows, and any platform UI elements, excluding your personal data.

  • Third-Party Services: services operated by third parties used to deliver the Services, including Google infrastructure and payment processors (e.g., Stripe).

  • Renewal Date: the date on which your subscription renews for a further billing period.

  • AUP: the Acceptable Use Policy incorporated into these Terms by reference.

2. Eligibility and Professional Use

 

2.1 Professional Use Representation 

The Services are intended strictly for professional, business, academic, or institutional use. By using the Services, you represent and warrant that you are purchasing and using the Services for professional purposes and not as a retail consumer. To the extent mandatory statutory consumer protection laws apply to you in your jurisdiction and cannot legally be excluded, these Terms apply subject to those mandatory rights.

2.2 Authority.

If you use the Services on behalf of an entity, you confirm that you have authority to bind that entity to these Terms.

​

2.3 Age.

You must be at least 18 years old.

​

3. Service Model and Architecture

 

3.1 Research Tool Only; No Advice.

The Services provide AI-assisted research and drafting support for UAE Corporate Tax topics. We do not provide legal, tax, accounting, or other professional advice, and Outputs are not a substitute for professional judgment.

 

3.2 Third-Party AI Infrastructure.

The Services are delivered using Google AI research infrastructure (including NotebookLM or successor services) and other Third-Party Services.

3.3 Chat-Only Access / No Uploads.

Your access is “chat/query-only.” Uploading files is currently not possible into our shared workspace.

​

3.4 Update Window.

We aim to update source materials promptly, but you accept a standard operational window of 48–96 hours to integrate new official guidance or legislation after it is published.

 

3.5 No Service Levels / Uptime Guarantees.

We do not guarantee uninterrupted availability. Planned or unplanned interruptions may occur due to maintenance, third-party changes, or other factors outside our control.

 

4. Account Provisioning and Access Controls

 

4.1 Allow-listed Access.

Access is granted only to the Authorized Gmail placed on our viewer allow-list. Access is denied for non-authorized accounts.

 

4.2 No Transfer of Gmail.

Seats are non-transferable to a different Gmail. We do not support Seat transfers to new Gmail addresses.

 

4.3 Multi-Device Use.

You may access the Services from multiple devices as the same named user using the same Authorized Gmail.

 

4.4 Manual Operations.

Access provisioning and removal may be processed manually and typically occurs within 24 hours, but may take up to 48 hours.

 

5. Seat Licensing and Single-User Rule

 

5.1 Per-Seat Model.

Each Seat is for one named individual and one Authorized Gmail.

 

5.2 No Shared Gmail / Shared Use.

You must not allow any other person to access the Services using your Authorized Gmail or via any shared mailbox/shared login arrangement. You remain responsible for all activity conducted using your Authorized Gmail.

 

5.3 Additional Seats.

If multiple people require access, additional Seats must be purchased.

 

6. Fair Use and Usage Limits

 

6.1 Fair Use Guideline (30 queries/day).

Each Seat is subject to a fair use guideline of approximately 30 queries per day. This guideline exists to reduce unfair usage and protect service stability.

 

6.2 Fair Use Definition.

“Fair use” means usage consistent with a single named human professional user. Usage that resembles automated activity, team usage, or a shared mailbox violates this guideline.

 

6.3 Aggregate Monitoring Only.

We have access only to aggregate usage metrics (e.g., users/day and queries/day). We do not have access to the text of your queries.

 

6.4 Usage Management; Enforcement.

We may manage usage to protect service stability and enforce these Terms. Where usage appears inconsistent with fair use or single-Seat access, we may issue warnings, require compliance confirmation and/or Seat upgrades, and suspend or terminate access in accordance with Section 12.

7. Permitted Use of Outputs

​

7.1 Use of Outputs

You may use Outputs for:

  • internal workpapers and analysis;

  • deliverables and communications; and

  • formal filings/submissions,

provided you do not represent Outputs as legal/tax advice issued by Tax Co-Pilot.

​

7.2 Required Disclaimer.

If Outputs (or excerpts) are included in client deliverables, you must include the following disclaimer (or substantially similar wording):

“AI-assisted research; independently verified against official sources.”

 

7.3 No Endorsement / No Attribution.

You must not publicly attribute your conclusions to Tax Co-Pilot or imply endorsement, including statements like “UAE Tax Co-Pilot says…”, “as per UAE Tax Co-Pilot”, or any similar implication.

8. Public Posting Restrictions

 

8.1 No Screenshots / Verbatim Posting.

You must not post screenshots of the Services interface or verbatim Outputs publicly (e.g., LinkedIn, blogs, websites).

​

8.2 Derived Content Allowed Without Attribution.

You may publish derived content publicly only if:

  • you do not mention Tax Co-Pilot or imply endorsement;

  • you do not post screenshots/verbatim Outputs; and

  • you do not disclose access details, internal workspace materials, or our workspace/document list.

​

9. Intellectual Property

 

9.1 Our IP.

The Services, Content, compilation, curation, structure, and workflows are owned by Tax Co-Pilot or its licensors and protected by IP laws.

 

9.2 No Extraction / Competitive Use.

You must not scrape, systematically copy, compile, or extract Outputs and citations to build or train a competing database, product, or service (including “manual” systematic extraction over time).

 

9.3 Citations.

Citations are a feature of the Service and may be used in client deliverables. However, the underlying compilation and curation remain proprietary.

 

10. Confidentiality

 

10.1 Relationship Confidentiality.

We will not use your name/logo in marketing without your written consent.

10.2 Access Information.

You must not disclose access-enabling information (including any access links, workspace identifiers, or allow-list details) to third parties.

 

11. Data Protection and Privacy

 

11.1 Privacy Policy.

Our data practices are described in our Privacy Policy, which is incorporated by reference.

 

11.2 No Query Content Stored by Us.

We do not store or log your query text on our own systems. Query processing occurs within Google infrastructure, subject to Google’s applicable terms and policies.

 

11.3 User Responsibilities:

No Client Confidential/Personal Data. You must not input client confidential information or personal data into the chat. You are solely responsible for any consequences of violating this rule.

 

11.4 Security Recommendation. You are strongly encouraged to maintain robust account security for your Authorized Gmail, including enabling 2FA where available. (Note: 2FA is required for eligibility for refunds under the “Unauthorized/Fraudulent Charge” exception in the Refund Policy.)

 

12. Enforcement for Misuse

 

12.1 Escalation Ladder (Seat Sharing / Misuse / Excessive Use):

If we reasonably suspect Seat sharing, misuse, or unfair usage, we may take the following actions:

  1. Warning by email;

  2. 24-hour cure period to confirm compliance and/or purchase additional Seats;

  3. Suspension of access;

  4. Reinstatement only after (i) upgrade payment is received and (ii) compliance confirmation is provided (including, where requested, written confirmation from a company administrator/manager);

  5. Termination if not cured within 2 days after suspension.

 

12.2 Immediate Termination Without Cure (Serious Breaches).

We may terminate immediately, without cure, for:

  • scraping/systematic extraction or reverse engineering;

  • public posting of screenshots/verbatim Outputs;

  • attempts to bypass access controls/security;

  • unlawful use of the Services.

12.3 No Refund on Termination for Breach.

If terminated for breach, no refund is issued for any remaining subscription period.

 

13. Fees, Billing, and Renewal

 

13.1 Fees.

Subscription fees are billed in advance (monthly or annually).

 

13.2 Auto-Renewal.

Subscriptions renew automatically unless cancelled before the Renewal Date.

 

13.3 Manual Billing Operations.

Billing and cancellations may be processed manually and typically occur within 24 hours, but may take up to 48 hours.

13.4 Taxes (VAT)

Fees are exclusive of applicable taxes (including VAT). If/when VAT applies, VAT will be added to invoices/charges as required by law. We may issue VAT invoices once registered/required.

​

13.5 Price Changes 

We may change pricing with at least 30 days’ notice, which may be provided by email to the Account email address, by an in-product notice, or by posting a notice on our website. Continued use after the effective date constitutes acceptance

​

13.6 Trial Period
We may, at our sole discretion, offer a limited trial or promotional access period to the Services (a “Trial”). We may change, extend, shorten, suspend, or discontinue Trials at any time and without notice. Trials are provided on an “as is” basis, may have feature/usage limitations, and do not create any ongoing entitlement to continued access or pricing. At the end of the Trial, access will end unless you purchase a paid subscription. We may refuse or revoke Trial access if we suspect repeated Trial use, misuse, or circumvention of subscription requirements.

14. Failed Payments

​

14.1 If a payment fails, access may be suspended immediately.

 

14.2 Reinstatement occurs within our manual processing window after payment is received and confirmed.

​

15. Cancellation and Removal

​

15.1 Cancellation Deadline.

Cancellation requests must be submitted before your Renewal Date to avoid being charged for the subsequent billing cycle.

​

15.2 Valid Cancellation Request.

A “valid cancellation request” must be:

  • sent from the Authorized Gmail to admin@uaetaxcopilot.com; and

  • received in our inbox at least 24 hours before the Renewal Date, calculated in UAE time (Gulf Standard Time).

 

15.3 Manual Processing Failsafe – Overlap Refund.

If you submit a valid cancellation request under Section 15.2 but are still charged due to our manual processing window, we will issue a full refund for that specific renewal charge in accordance with the Refund Policy.

15.4 Continued Access.

Access remains until the end of the current billing period unless suspended for non-payment or breach.

 

15.5 Allow-list Removal.

After expiry/cancellation, removal from the viewer allow-list occurs promptly, typically within 24 hours, but may take up to 48 hours.

 

16. Refunds

Refunds are governed by the Refund Policy (incorporated by reference).

 

17. Disclaimers

 

17.1 AS IS / AS AVAILABLE.

Services are provided “as is” and “as available.”

 

17.2 No Warranty.

We disclaim all warranties to the maximum extent permitted by law.

 

17.3 AI Limitations.

AI may be inaccurate, incomplete, or outdated. You must independently verify against official sources before acting.

 

18. Limitation of Liability

 

18.1 Liability Cap.

Our total liability is capped at the subscription fees actually paid by you in the 12 months preceding the event giving rise to the claim.

​

18.2 Excluded Damages.

No liability for indirect, consequential, punitive, or special damages.

 

19. Indemnity

You will indemnify and hold us harmless for claims arising from:

  • misuse, Seat sharing, or prohibited conduct;

  • your reliance on Outputs without verification;

  • your inclusion of client confidential/personal data in the chat.

 

20. Third-Party Services

​

20.1 Third-Party Services may impose limits, outages, or changes. We are not liable for Third-Party Service failures.

 

20.2 Your use may be subject to third-party terms.

​

21. Force Majeure

No party is liable for delays/failure due to events beyond reasonable control (including outages of third-party infrastructure, sanctions, or government action).

 

22. Changes to Terms / Services

We may update these Terms or modify the Services. Continued use after updates constitutes acceptance.

23. Governing Law and Dispute Resolution Dubai International Financial Centre (“DIFC”)

​

23.1 These Terms are governed by DIFC law.

​​

23.2 Forum.

Disputes are subject to DIFC Courts.

​​

23.3 SCT Threshold

If the total subscription fees actually paid by you to Tax Co-Pilot in the preceding 12 months (calculated net of refunds, chargebacks, and reversals) are ≤ AED 20,000, the parties agree to bring claims in the DIFC Small Claims Tribunal (“SCT”) where applicable; otherwise, in the DIFC Courts.

23.4 Costs.

To the fullest extent permitted by applicable law:

 

(a) If you initiate any claim, action, proceeding, complaint, or demand against Tax Co-Pilot arising out of or relating to these Terms or the Services (a “User Claim”), you agree to reimburse Tax Co-Pilot on demand for its reasonable legal fees and costs (including external counsel fees, court fees, expert fees, and other litigation expenses) incurred in connection with the User Claim, unless you obtain a final, non-appealable judgment that Tax Co-Pilot is liable to you for material breach of these Terms or wilful misconduct. Tax Co-Pilot may invoice such amounts from time to time, and you shall pay each invoice within 14 days of receipt.

​

(b) If a User Claim is dismissed, struck out, stayed, discontinued/withdrawn, settled without any admission of liability by Tax Co-Pilot, or decided substantially in Tax Co-Pilot’s favour, you shall reimburse Tax Co-Pilot’s reasonable legal fees and costs to the maximum extent permitted by the DIFC Courts on a full indemnity basis.

​

(c) This clause is without prejudice to, and does not limit, any costs order the DIFC Courts may make.

​

23.5 Chargebacks.

If you initiate a chargeback or payment dispute, we may suspend access immediately while the dispute is pending. You agree to reimburse us for any chargeback/dispute fees imposed by our payment processor(s) to the extent the chargeback or dispute is resolved in our favour, withdrawn, or denied.

24. Notices

Notices may be sent by email to admin@uaetaxcopilot.com and to the email on your Account and will be deemed received upon sending.

​

25. Miscellaneous

Severability, waiver, and entire agreement apply. English version prevails. The AUP and Refund Policy are incorporated by reference.

Refund Policy

As UAE Tax Co-Pilot provides digital access to proprietary research capability and incurs upfront infrastructure and operational costs, subscription fees are generally non-refundable.

1. No Refunds

No refunds or prorated credits for:

  • change of mind or lack of usage;

  • dissatisfaction with formatting or AI nature of Outputs;

  • failure to cancel before renewal (except Section 2.1);

  • third-party rate limits or throttling.

​

2. Exceptions​

We will consider refunds only in the following cases:

2.1 Cancellation Processing Overlap
If you submit a valid cancellation request from the Authorized Gmail, and it is received at admin@uaetaxcopilot.com at least 24 hours before the Renewal Date (UAE time), but you are still charged due to our manual processing window, we will issue a full refund for that specific renewal charge.

 

2.2 Duplicate Charge (request within 7 days).
If you were charged twice for the same period, submit a request within 7 days of the charge. Approved refunds are processed within 10 days.

 

2.3 Unauthorized/Fraudulent Charge (verified; request within 7 days).
Refunds for unauthorized/fraudulent charges require:

  • bank confirmation and Stripe dispute status/confirmation;

  • proof that 2FA was enabled on the Authorized Gmail at the time of the charge; and

  • request raised within 7 days of the charge.
    If 2FA was not enabled at the time, the refund will be denied. Approved refunds are processed within 10 days.

2.4 Permanent Sunset of Google Infrastructure Making Service Impossible.
If Google permanently sunsets or changes its AI research infrastructure such that providing the core service is technically impossible, we will provide a pro-rata refund for the unused portion of the current billing cycle.

3. No Downtime Credits

If access interruption arises from operational issues (e.g., mistaken viewer removal), the remedy is restoration within 24–48 hours. No refund/credit is provided.

 

4. Chargebacks

If you initiate a chargeback, access may be suspended immediately while the dispute is pending.

 

5. Termination for Breach

If terminated for breach (Seat sharing, scraping, misuse), no refund is issued.

6. How to Request

Email admin@uaetaxcopilot.com with:

  • invoice/charge reference,

  • reason,

  • supporting evidence (where applicable).

Acceptance Use Policy (AUP)

You must not:

  • share your Seat/Authorized Gmail access or use shared mailbox/shared login,

  • attempt to upload files or input client confidential/personal data in the chat,

  • post screenshots/verbatim Outputs publicly or attribute/endorse Tax Co-Pilot publicly,

  • scrape, reverse engineer, or systematically extract Outputs/citations to build a competing product/service,

  • use the Services unlawfully (including infringing IP/privacy),

  • attempt to bypass access controls or security.

We may enforce the escalation ladder and termination rights in the Terms for any violations of this AUP.

Privacy Policy

1. What we collect

  • Account and subscription data: name, email, mobile number, company name, job title, subscription plan details, Stripe metadata (e.g., customer ID, payment status).

  • Usage analytics: aggregate statistics such as users/day and queries/day (we do not view query text).

  • Website data: standard cookies and site logs (and analytics cookies only after consent, if enabled).
     

2. What we do NOT collect/store

  • We do not store your query text on our systems.

  • We do not receive your uploaded documents (uploads are not enabled for users).
     

3. How we use your data

  • to provision and manage access (viewer allow-listing);

  • billing and account administration;

  • security and abuse prevention;

  • service communications.
     

4. Sharing

We do not sell personal data. We may share data with:

  • Stripe for payments;

  • Authorities if required by law.
     

5. Retention

  • Paying customers: retained for 12 months after last payment, unless longer retention is required for legal/accounting reasons.

  • Non-paying leads: retained until you request deletion, or until we delete it as part of routine data minimization.
     

6. Cookies and consent

  • If analytics is enabled, we will use a cookie banner and no analytics cookies will be placed until you consent.
     

7. Security

  • We use reasonable administrative and technical safeguards (including 2FA on admin accounts). Users are strongly encouraged to maintain Gmail account security (including 2FA).
     

8. Legal compliance and notifications

  • We will comply with applicable law and may notify users where appropriate.
